These Terms govern access to and use of SekyuSeal and related services, websites, APIs, and applications (the “Services”). By creating an account, sending a signature request, or signing through the Services, you agree to these Terms.

1. Eligibility and Authority

You must be at least the age of majority where you live and legally able to enter a binding agreement. If you use the Services for an organization, you confirm you are authorized to bind that organization.

2. Service Description

SekyuSeal provides document preparation, electronic signature workflows, signer invitations, audit trails, and signed artifact storage. We may update features over time.

You may not use the Services to break the law, infringe rights, distribute malware, bypass security controls, or conduct fraud, impersonation, or deceptive signing activity.

6. Evidence Chain and Integrity Controls

SekyuSeal maintains tamper-evident workflow evidence. This can include SHA-256 document digests, append-only audit events, hash-chaining of audit events, and cryptographic signatures for completion certificates and verification attestations. Audit metadata can include timestamps, IP address, and user agent values supplied by request headers.

You acknowledge that evidentiary weight can vary by jurisdiction, transaction type, and case facts.

7. ESIGN, UETA, and eIDAS Positioning

The Services are designed to support electronic signature processes commonly used under the U.S. ESIGN Act and UETA, and electronic signature evidence practices used in the EU under eIDAS. We do not represent that every transaction automatically satisfies every statutory formality, sector rule, or country-specific requirement.

Unless expressly agreed in writing, the Services are not a Qualified Trust Service and do not issue eIDAS Qualified Electronic Signatures.

8. Customer Content and Responsibility

You retain ownership of uploaded documents, fields, and transaction data (“Customer Content”). You grant SekyuSeal a limited license to host, process, transmit, and store Customer Content solely to provide, secure, and improve the Services.

You are solely responsible for document legality, content accuracy, required disclosures, retention obligations, and who you invite to sign.

9. Carrier-Only Role; Not the Author or Legal Advisor

SekyuSeal is a neutral technology provider that transmits and stores Customer Content. SekyuSeal is not the author, drafter, counterparty, or legal reviewer of your documents and is not a law firm. We do not provide legal advice.

10. Intellectual Property

SekyuSeal and its licensors retain all rights in the Services, software, branding, and documentation. No rights are granted except as expressly stated.

12. Suspension and Termination

We may suspend or terminate access for security threats, legal compliance, non-payment, abuse, or material breach. You may stop using the Services at any time.

13. Disclaimers

The Services are provided “as is” and “as available” to the maximum extent allowed by law. We do not guarantee uninterrupted availability or that the Services satisfy every legal requirement for every use case.

14. Limitation of Liability

To the maximum extent permitted by law, SekyuSeal and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill.

To the maximum extent permitted by law, SekyuSeal is not liable for claims arising from document text, legal sufficiency, contract enforceability, signer authority, identity misrepresentation, or instructions you provide through the Services. You control and supply the underlying content and recipients.

To the maximum extent permitted by law, SekyuSeal’s aggregate liability for all claims relating to the Services is limited to the greater of (a) amounts paid by you to SekyuSeal for the Services in the 12 months before the event giving rise to liability, or (b) USD 100.

15. Force Majeure

SekyuSeal is not liable for delay, failure, or interruption caused by events beyond reasonable control, including internet failures, power outages, cyberattacks, labor disputes, natural disasters, governmental actions, or outages/failures of third-party infrastructure and communications providers, including cloud and hosting platforms such as Supabase and Vercel and email delivery providers such as Resend.

16. Indemnification

You agree to defend and indemnify SekyuSeal against third-party claims arising from Customer Content, unlawful use, your violation of these Terms, or your violation of another party’s rights.

17. Governing Law and Disputes

Governing law and dispute process are determined by your order form, enterprise agreement, or default legal terms then in effect.

18. Changes to Terms

We may update these Terms from time to time. Material changes become effective on posting unless a different effective date is stated.
